Terms of Service
The rules for using ShareSpace Carpool: how cost sharing works, who is responsible for what, fees, safety and disputes.

These Terms of Service (the "Terms") are a contract between you and Share Space Technologies L.L.C., a limited liability company in Sacramento, California ("ShareSpace", "we", "us"). They apply to the ShareSpace Carpool mobile apps, website and related services (the "Services"). Please read them. If you do not agree, do not use the Services. The country addendum for your country (see below) is part of these Terms.
1. What ShareSpace Carpool is
Three things to know before you use ShareSpace
- Rides are not for profit. A driver may only share the real cost of a trip they are already making, up to the cap shown in the app.
- Drivers and riders must hold the insurance they need. Check that your own insurance covers carpooling.
- ShareSpace provides no insurance and no protection against damage, injury or loss. The driver and the rider are responsible for the trip.
ShareSpace Carpool is a technology platform. It helps people who are already making a trip find others who want to share that trip, and share the real cost of it. We do not charge drivers for the cost share, and we do not take part in the trip.
- We are not a transportation company. ShareSpace is not a taxi, ride-hailing, limousine, bus, courier or other carrier. We do not own or lease vehicles, we do not employ or hire drivers, and we do not provide transportation.
- Cost sharing, with a service fee for running the platform. Our aim is cost sharing, not profit from trips. The rider pays ShareSpace a service fee (and any tax on it) to cover the cost of running the platform. We are a limited liability company. We are not a registered charity or non-profit organisation, and we do not claim to be one.
- Drivers and riders deal with each other. A trip is an arrangement between the driver and the rider. ShareSpace is not a party to it.
2. Who can use the Services
- You must be at least 18 years old and able to form a binding contract. Where the law of your place sets a higher age, you must meet it.
- You must give accurate, complete and current information, keep it up to date, and keep your login secure. You are responsible for everything done through your account. One person, one account. You may not transfer or share your account.
- You must not use the Services if the law prohibits you from doing so. The Services are not offered in Quebec, Canada at this time.
- Drivers must hold a valid driver's licence for the vehicle and place, a registered and roadworthy vehicle, and valid insurance (see section 5).
- We may ask you to verify your identity, phone number, email or work email. We may refuse or end an account where the law allows.
3. Cost sharing rules
- Trips you were already making. A driver may offer seats only on a trip the driver is already making for their own reasons. A driver must not make a trip only to earn money, and must not offer rides as a business or occupation.
- Real costs only. A driver may only ask riders to share the real cost of the trip, such as fuel, tolls, parking and wear on the vehicle. A driver must not make a profit.
- Price cap. The price per seat is capped at the published cost-sharing reimbursement rate for the country, multiplied by the trip distance, divided by the number of seats offered. In the United States the rate is the IRS standard mileage rate. In other countries it is the rate we set in the app and show to you. The app does not let a driver publish a price above the cap, and we may lower any price that is above it. Rates change over time, and the rate in force when a ride is published applies to that ride.
- The driver receives the cost share and is not charged our fee. The rider pays our service fee on top of the cost share.
- No commercial use. You must not use the Services to carry passengers for hire or reward, to run a taxi, ride-hailing, shuttle, tour or delivery business, or to advertise paid transport. We may suspend or close accounts that look like commercial use, repeated profit, fake trips, or trips offered below the actual trip being made.
- Tax and other rules on money a driver receives are the driver's responsibility. We do not give tax advice.
4. Who is responsible for what
Drivers are responsible for
- holding a valid licence and a registered, safe, roadworthy vehicle;
- having insurance that is valid for the trip and for carrying passengers (section 5);
- driving safely, legally and sober, not using a handheld phone, and carrying no more people than the vehicle's seats and seat belts allow;
- being truthful about the vehicle, route, timing and price;
- following the laws of the place where the trip happens.
Riders are responsible for
- arriving on time, wearing a seat belt and respecting the driver and the vehicle;
- following the driver's reasonable safety rules;
- paying what was agreed, including our service fee;
- cancelling in good time if plans change.
ShareSpace does not guarantee that any driver or rider will turn up, drive safely, be who they say they are, or be right for you. Profile checks, work-email verification and ratings are aids only. You decide whether to share a trip with someone.
5. Insurance and no protection from ShareSpace
- ShareSpace does not provide any insurance, and gives no protection or compensation for damage, injury, death, loss or delay that happens before, during or after a trip, to a driver, a rider, a vehicle or anyone else. ShareSpace does not currently hold any insurance that covers trips, drivers, riders or vehicles. Your own insurance (and your own health or travel cover) is what applies.
- Drivers must hold a valid licence and the insurance the vehicle and the law require. Before you offer a ride, check with your insurer that your policy covers carrying passengers who share the cost of a trip. Many personal car policies cover cost sharing but exclude carrying passengers for hire or reward, and the wording differs by insurer and place. Keep the cover in force. When you offer a ride, the app asks you to confirm this.
- Riders are responsible for any insurance they need for themselves, such as health, accident or travel cover. The driver's insurance may not cover you.
- You are responsible for your own insurance and for any loss that it does not cover. If something goes wrong, you deal with the other person and with your insurers; ShareSpace does not pay or settle claims.
6. Payments, fees, refunds and cancellations
Amounts, currency and distance units are shown in the app before you book or publish. The details differ by country (see your country addendum).
- Service fee. The rider pays ShareSpace a service fee, shown before you confirm (currently 10% of the cost share in the United States and Canada; in some countries it may be lower or none), plus any tax on the fee. It is shown before you confirm. The fee is for operating the platform. We may change the fee for future bookings. A booking is charged at the price shown when you confirmed it.
- Payment processing. Card, Apple Pay and Google Pay payments are processed by Stripe and its partners. We do not store your full card number. Stripe's terms and privacy policy apply to its processing.
- United States. Riders may pay from the in-app wallet (US dollars), by card, Apple Pay or Google Pay, or choose the cash option where the app offers it. With cash, the rider pays the driver the cost share directly and only the service fee is charged in the app.
- Outside the United States. By default the rider pays the driver the cost share directly, in local currency (for example cash, UPI or e-transfer), and only the service fee, plus tax on it, is charged by card in local currency. We do not hold or send the cost share. Where the app says a trip is paid fully by card (for example the optional Canada card mode), the full amount is collected by card and the driver is paid through Stripe, and Stripe's connected-account terms also apply to the driver.
- Wallet (United States). Wallet money is held to pay for rides and may be withdrawn as the app explains. Withdrawals are reviewed by us and may be delayed or refused for security, fraud-prevention or legal reasons. Wallet money does not earn interest. Wallet money is a balance of credit for rides on ShareSpace and for amounts owed to drivers. It is paid to us through our payment provider Stripe. It is not a bank account or a deposit, it is not held in an account in your name, and no government deposit insurance covers it.
- Cancellations and refunds. If a booking or ride is cancelled, you are refunded as the app states at the time. Where a ride uses shared pricing, bookings cannot be cancelled in the last hour before departure. Service fees on completed trips are not refunded, except where the law requires, or where we decide to as a goodwill gesture. Repeated late cancellations or no-shows may lead to limits on your account. Refunds go back to the original payment method or the wallet, and card refunds can take several days to appear.
- Disputes about payments should be reported to support@sharespacecarpool.com within 30 days of the trip. You may also have rights with your card issuer.
- Taxes. You are responsible for taxes on money you receive. We charge sales, GST/HST or other tax on our fee where required.
7. Safety
Share your trip details with someone you trust. Check that the vehicle and driver match the booking. Meet in a public place if you can. Never get into or drive a vehicle if you feel unsafe, if the driver seems impaired, or if the trip differs from what was agreed. In an emergency call your local emergency number first: 911 in the United States and Canada, 112 in India. Then report the problem in the app so we can act on it. We may suspend accounts while we look into a report.
8. Prohibited conduct
You must not:
- break the law, or ask or help anyone else to;
- drive while impaired, or travel with someone who is visibly impaired;
- offer a ride for profit, or ask for more than the cap, or ask for cash outside the app to avoid the fee;
- discriminate against, harass, threaten, assault or pressure anyone, or ask for sexual or romantic contact;
- carry weapons, illegal goods or animals that others have not agreed to, or smoke or vape in a vehicle without the agreement of everyone in it;
- give false identity, vehicle, licence, insurance or trip details, or create several accounts;
- use the Services to collect or sell other users' data, to send spam, to scrape the Services, to reverse engineer or disrupt them, or to bypass security;
- post content that is unlawful, hateful, defamatory, sexually explicit or that infringes others' rights;
- take payment or arrange trips for third parties who are not in the vehicle.
The Carpool rules explain how these apply in practice and are part of these Terms.
9. Your content and licence
You keep ownership of what you post (profile, photos, ride details, chat messages, ratings and reviews). You give ShareSpace a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and use that content to run, improve and promote the Services, and to enforce these Terms. This licence ends when you delete the content or your account, except for content that others have already received (such as messages), copies kept as backups for a reasonable time, and records we must keep by law. You promise you have the right to post what you post. We may remove content that breaks these Terms. ShareSpace owns the Services, our name, logos and software. We give you a personal, limited, revocable licence to use the app for its intended purpose.
10. Ratings, chat and reports
Ratings and reviews must be honest and about the trip. Chat messages are not private from us: we may review them to investigate reports, to keep people safe and to follow the law. Do not share your phone number unless you want to.
11. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent the law allows, we do not promise that the Services will be uninterrupted or error-free, or that any user, trip, price, route, estimate or review is accurate or suitable. Distances, times and price caps are estimates. We do not control and are not responsible for what drivers and riders do or fail to do, or for the condition of any vehicle. Nothing in these Terms excludes rights that the law of your place does not allow to be excluded.
12. Limitation of liability
To the fullest extent the law allows:
- ShareSpace is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, savings or data;
- ShareSpace is not liable for the acts or omissions of drivers, riders or other users, or for events that happen on a trip;
- our total liability to you for all claims relating to the Services is limited to the greater of (a) the service fees you paid to ShareSpace in the 12 months before the claim and (b) USD 100.
None of this limits liability that cannot be limited by law, including for death or personal injury caused by our negligence where the law does not allow that limit, for fraud, or for wilful misconduct. Some places do not allow some of these limits, so parts of this section may not apply to you.
13. Release
To the fullest extent the law allows, you release ShareSpace and its owners, officers, employees and agents from claims, losses and damages (known and unknown) that arise from a trip or from the acts or omissions of another user, including injury, loss, damage, delay or cancellation. You agree to deal with the other user directly for anything that happens on a trip. This release does not apply to claims arising from our own fraud, wilful misconduct or gross negligence, or where the law does not allow it. If you live in a place where a release like this is not allowed, it applies only as far as the law allows.
14. Indemnity
To the extent the law allows, you agree to defend and compensate ShareSpace against claims, losses and costs (including reasonable legal fees) brought by a third party and caused by your breach of these Terms, your violation of law or of someone's rights, your content, or your conduct as a driver or rider. This does not cover claims caused by our own negligence or misconduct.
15. Disputes and governing law
- Talk to us first. Before starting a claim, please email support@sharespacecarpool.com so we can try to resolve it informally. Most issues can be solved this way.
- United States. The laws of the State of California, and applicable federal law, govern these Terms, without regard to conflict of law rules. Claims will be brought in the state or federal courts located in Sacramento County, California, and you and we consent to those courts. Small claims court is always available for claims within its limits.
- Other countries. If you live outside the United States, the law of your country or province may give you consumer rights that these Terms cannot take away, and you may bring a claim in the courts of the place where you live. These Terms do not waive those rights. Where the law of the place you live applies to your claim despite the choice of California law, that law applies. Your country addendum may add more.
16. Suspension and termination
You may stop using the Services and delete your account at any time in the app or by emailing us (see our Privacy policy for what we keep). We may suspend or end your access, cancel bookings, or withhold or reverse payments where we reasonably believe that you broke these Terms or the law, that you are a risk to others, or that we must do so by law. Where practical we will tell you why and how you can respond. Sections that by their nature should continue (such as 9, 11 to 15 and this section) continue after termination. Money in the wallet is returned as explained in the app, less any amounts you owe, unless we must hold it by law.
17. Changes to these Terms and to the Services
We may change these Terms or the Services. For a material change we will give you notice in the app or by email, normally at least 30 days before it takes effect where practical. We record the version of the Terms you accepted and when. After a change you will be asked to accept the new version; if you do not accept, you can stop using the Services and close your account. Using the Services after the effective date, where the law allows, means you accept the change. Changes never apply to a trip you have already booked, except where the law requires.
18. General
These Terms, the Privacy policy, the Carpool rules and your country addendum are the whole agreement between you and us about the Services. If a part is found unenforceable, the rest stays in force. If we do not enforce a term, we do not give it up. You may not assign these Terms without our consent; we may assign them to a successor of the business. These Terms are provided in English. Translations are for convenience; the English version controls to the extent the law allows. No agency, partnership, employment or joint venture is created between you and ShareSpace, and drivers are not our employees or contractors.

Country addenda
The addendum for your country is part of these Terms: United States, Canada, India, United Kingdom, Ireland and New Zealand.
United States addendum
This addendum applies if you use ShareSpace Carpool in the United States. If it conflicts with the main Terms for US users, this addendum controls.
- Cost sharing rate. The price cap uses the IRS standard mileage rate for business use. The IRS can change the rate during the year, and we update the app when it does. Rides are priced in US dollars and distances are in miles.
- State laws. Carpool, for-hire, insurance and licensing rules differ by state and city. You must follow the law of the place where you drive. Some cities and airports restrict paid rides or pick-ups. You must not use ShareSpace for a trip that the law of that place treats as a paid ride for hire. Some cities, for example New York City, treat app-based paid carpools as for-hire rides: if you drive in such a place, check the local rules first.
- Insurance. Many US auto policies cover cost-sharing carpools but exclude carrying passengers for a charge or for hire. Check with your insurer. ShareSpace does not provide auto liability, uninsured motorist or medical cover.
- Wallet and payments. Wallet money is in US dollars. Withdrawals are reviewed by us. Card payments are processed by Stripe. Cash is allowed where the app offers it, and only our service fee is then charged in the app.
- Sales tax. We add sales tax on our service fee where required by state law.
- California notices. If you are a California resident, you have privacy rights under the California Consumer Privacy Act; see our Privacy policy. Under California Civil Code section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
- Governing law and disputes. See section 15 of the Terms.
- Emergency. Call 911.
Canada addendum
This addendum applies if you use ShareSpace Carpool in Canada. ShareSpace Carpool is not offered in Quebec at this time. If you live in or travel in Quebec, do not use the Services there. If this addendum conflicts with the main Terms for Canadian users, this addendum controls.
- Cost sharing only. Provinces regulate paid passenger transport and insurance differently. Rides on ShareSpace are for sharing the real cost of a trip you are already making, up to the cap shown in the app. Drivers must not operate for hire or reward. Some provinces limit how often passengers may pay for a regular carpool or require a licence for paid trips between municipalities. You are responsible for following the rules of the province where you drive. For example, in Ontario a carpool driver may only recover the costs of the trip and may not take passengers on more than one round trip or one-way trip a day.
- Currency and units. Prices are in Canadian dollars and distances in kilometres. The cap uses the rate set in the app for Canada.
- Payments. In Canada the rider pays for the ride by card in the app, in Canadian dollars. The payment is processed by Stripe, and the driver is paid through their own Stripe account after the ride is completed. The driver must complete Stripe's identity checks before offering rides, and ShareSpace may not publish a ride until the driver's payout account is active. The rider also pays ShareSpace's service fee (shown before you confirm), plus any GST/HST or provincial tax on that fee as applicable. Refunds follow the cancellation terms shown in the app.
- Insurance. Check with your insurer that carpooling on a cost-sharing basis is covered under your provincial policy. ShareSpace does not provide insurance.
- Privacy. The Personal Information Protection and Electronic Documents Act (PIPEDA), and provincial laws that apply, govern how we handle your personal information; see our Privacy policy. Your personal information may be processed and stored in the United States.
- Your consumer rights. The consumer protection laws of your province apply and nothing in the Terms limits rights that those laws do not allow to be limited. Nothing in these Terms requires you to arbitrate a claim or waive your right to bring a class action in Canada. The limits on liability and the release apply only as far as the law of your province allows.
- Language. These Terms are in English. You confirm that you want them in English.
- Emergency. Call 911.
India addendum
This addendum applies if you use ShareSpace Carpool in India. If it conflicts with the main Terms for users in India, this addendum controls. ShareSpace is new in India and is offered to a limited group of people first.
- Private vehicles and cost sharing. Under motor vehicle law, carrying passengers in a private vehicle for hire or reward may need a permit, and rules differ by state. On ShareSpace a driver may only share the real cost of a trip the driver is already making, up to the cap shown in the app, and must not make a profit. You must not offer or take paid rides in a private vehicle as a business. You are responsible for following the law of the state where you drive. This includes the Motor Vehicles Act, 1988, the central and state rules made under it and any aggregator rules that apply to you. If you are not sure that a trip is allowed, do not offer or take it.
- Currency and units. Prices are in Indian rupees and distances in kilometres.
- Payments. The rider pays the driver the cost share directly (cash, UPI or similar). During the current beta ShareSpace charges no service fee in India. If a fee is introduced later it will be shown before you confirm, in rupees, with GST as applicable. We do not collect, hold or send the cost share.
- Insurance and no protection. Drivers must hold valid third-party insurance for the vehicle and the cover the law requires, and should check with the insurer that carpooling on a cost-sharing basis is covered. Riders are responsible for any insurance they need for themselves. ShareSpace does not provide any insurance and gives no protection or compensation for damage, injury or loss.
- Your data (Digital Personal Data Protection Act, 2023). See our Privacy policy, including your rights and how to contact our grievance officer.
- Consumer rights. The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 apply. Nothing in the Terms limits your rights under those laws. You may bring a consumer complaint in the forum where you live or work. Nothing in these Terms requires you to arbitrate or give up a class or group complaint where the law gives you that right. The limits on liability and the release apply only as far as Indian law allows.
- Grievance officer. The ShareSpace support team acts as Grievance Officer: email support@sharespacecarpool.com, or write to Share Space Technologies L.L.C., 3400 Cottage Way, Ste G2 #20956, Sacramento, California 95825, USA. We acknowledge complaints within 48 hours and aim to resolve them within one month.
- Emergency. Call 112.
United Kingdom, Ireland and New Zealand addendum
This addendum applies if you use ShareSpace Carpool in the United Kingdom, Ireland or New Zealand. If it conflicts with the main Terms for users there, this addendum controls. ShareSpace is new in these countries.
- Cost sharing only. In these countries, carrying passengers for hire or reward in a private car can need a licence. A trip that only shares its real costs, with no profit to the driver, is treated differently, and the detail differs by country. On ShareSpace a driver may only share the real cost of a trip they are already making, up to the cap shown in the app, and must not make a profit. You must not use ShareSpace to run a taxi or hire business. You are responsible for following the law of the place where you drive. If you are not sure that a trip is allowed, do not offer or take it.
- United Kingdom. The price is agreed in the app before the trip, and the total paid by all riders must not be more than the running costs of the journey.
- Ireland. The cap is based on the reasonable cost of the fuel for the trip. A licensed taxi or hackney driver must not offer rides on ShareSpace.
- New Zealand. The cap is based on a per-kilometre rate for sharing the costs of a trip (fuel and wear and tear). A driver must not be paid for their time.
- Currency and units. Prices are in pounds (UK, per mile), euros (Ireland, per kilometre) or New Zealand dollars (per kilometre).
- Payments. The rider pays the driver the cost share directly (cash or bank transfer). During the current beta ShareSpace charges no service fee in these countries. We do not collect, hold or send the cost share, and ShareSpace cannot refund it: settle any problem with the other person.
- Insurance and no protection. Drivers must hold a valid licence and the insurance the law requires, and should tell their insurer that they share trip costs with passengers. Riders should hold their own health or travel cover. ShareSpace provides no insurance and gives no protection or compensation for damage, injury or loss.
- Your data. See our Privacy policy, including your rights under data protection law in the United Kingdom, Ireland and New Zealand.
- Emergency. Call 999 in the United Kingdom, 112 or 999 in Ireland, or 111 in New Zealand.
